Terms of business

This page summarises, in plain English, the terms on which ProntX provides its services to businesses in the UK. Your signed proposal sets out the exact scope, price and any terms specific to your project.

Monthly services

SEO, PPC, social media and email marketing are provided on a rolling monthly basis. There is no minimum term. Either side can end the service by giving 30 days’ written notice, and there are no exit fees. Monthly fees are invoiced in advance.

Project payments

Websites, apps and AI builds are priced as fixed projects. Unless your proposal says otherwise, we invoice a 50% deposit before work starts and the remaining 50% on launch. Larger projects may be split into further milestones. Work outside the agreed scope is quoted separately and only carried out with your approval.

Ownership of work

Once you have paid for it in full, you own the deliverables we create for you, including designs, content and code written specifically for your project. Third-party software, themes, plugins, fonts and stock assets remain subject to their own licences. Your domain, hosting, ad accounts and analytics are set up in your name.

Advertising spend

Ad spend on Google, Meta, TikTok, LinkedIn or any other platform is paid by you directly to that platform. It does not pass through ProntX and is not included in our fees. You are responsible for the payment method on your ad accounts.

No guaranteed rankings

We do not guarantee specific rankings, positions in AI assistants, traffic levels or sales. Search engines and platforms control their own results. We commit to delivering the work agreed in your proposal, reporting honestly and acting on what the data shows.

Confidentiality

We keep your business information, data and account access confidential and use them only to deliver your services. We will not name you as a client or show your work publicly without your permission. We handle personal data in line with UK data protection law.

Liability

Our total liability to you under any agreement is limited to the fees you paid us in the three months before the claim arose. We are not liable for indirect or consequential losses such as lost profits. Nothing in these terms limits liability that cannot be limited by law.

VAT and payment

All prices exclude VAT, which is added at the standard rate where it applies. Invoices are payable within the period stated on the invoice. See our pricing page for current prices.

Governing law

These terms and any agreement with ProntX are governed by the laws of England and Wales, and the courts of England and Wales have jurisdiction over any dispute.
